چکیده
I study how strategic alliances and their impact on future competitive incentives can motivate interfirm equity sales. In the model, an alliance between an entrepreneurial firm and an established firm improves efficiency for both. However, the requisite knowledge transfer heightens the established firm’s incentive to enter one of its partner’s markets. I show that equity can eliminate the entry incentive, but accommodation is sometimes chosen to encourage entrepreneurial effort on future growth options. I analyze stake sizes, block pricing, and welfare effects. The results have implications for equity alliances, corporate venture capital, and the organization of research activities. r 2005 Elsevier B.V. All rights reserved. Optimal Equity Stakes and Corporate Control
I show that firms may optimally sell blocks of their own equity to other firms in anticipation of future corporate control activity. In the model, a target and one potential acquirer, who may also be an alliance partner, can negotiate before synergy values are learned. I find that equity implements an optimal mechanism, allowing the partners to extract surplus from outside bidders who may arriv...
متن کاملAnticipated Entry and Entry Deterrence: Evidence from the American Casino Industry∗
Using new data on entry plans into the American casino industry, I find that incumbent firms invest in physical capacity when threatened with a nearby entry plan, and these strategic investments deter eventual entry. Consistent with an entry deterrence motive, incumbents respond to the threat of entry during planning when entry is uncertain, but do not invest in physical capacity when entry is ...

A strategic alliance is a hybrid organizational form that is between an arms length contract and a full-fledged merger between firms. In some alliances firms take a minority equity stake in the partner firm. We refer to these as equity alliances. Using data on 759 alliances, we examine the motivation for the use of equity in alliances. We study whether equity is intended to strengthen the contr...
متن کاملThe choice of governance mode in ICT alliances: A property rights approach
We employed a property rights approach to formulate a set of hypotheses explaining the choice between equity and non-equity alliances in the Information and Communication Technology industry. The firm’s need to control knowledge exchange and the resulting innovation makes property rights an important concern permeating partners’ strategic behavior. We showed that equity alliances were preferred...
متن کاملA Resource-Based Theory of Strategic Alliances
The resource-based view of the firm has not been systematically applied to strategic alliances. By examining the role of firm resources in strategic alliances, we attempt, in this paper, to put forward a general resource-based theory of strategic alliances, synthesizing the various findings in the literature on alliances from a resource-based view. The proposed theory covers four major aspects ...
